These Terms of Service (“Terms”) form a legally binding agreement between you (“you”, “your”, “User”) and Black Banner Studios s.r.o., Company ID No. 24537403, VAT ID CZ24537403, with its registered office at Heinemannova 2698/11, Dejvice, 160 00 Prague 6, Czech Republic (“Black Banner Studios”, “Company”, “we”, “us”, “our”).
These Terms govern your access to and use of Legacy of Valor Online (“LoVO”), the Legacy Account, the Pledge Store, Founder Pledges, Store Credit, our websites, launcher, game clients, testing environments, online services, community systems, digital content and related services (together, the “Services”).
Please read these Terms carefully. By creating a Legacy Account, accepting these Terms, completing an eligible purchase, downloading or accessing the Services, you agree to be bound by them.
Nothing in these Terms excludes, restricts or overrides any mandatory rights that you have under applicable consumer law.
1.About Legacy of Valor Online
Legacy of Valor Online is a video game and connected online service developed and operated by Black Banner Studios.
LoVO may be made available in stages, including concept development, prototypes, internal testing, closed testing, alpha, beta, Early Access and full commercial release. During development, features, systems, content, balance, technical requirements, supported platforms, specifications and development targets may change.
The fact that LoVO is in development does not remove any mandatory consumer rights applicable to a particular transaction.
2.Eligibility and Age
You may use the Services only if you are legally permitted to enter into these Terms under the law applicable to you.
The minimum age applicable to account creation will be displayed during registration and may vary depending on applicable law, platform requirements or the final age classification of the game.
If you are under the age of legal majority in your country, a parent or legal guardian may be required to review and accept these Terms or authorise purchases on your behalf.
You may not use the Services where applicable law prohibits us from providing them to you.
3.The Legacy Account
A Legacy Account is the central account used across the Legacy of Valor ecosystem and may provide access to the website, Pledge Store, launcher, game, community features and digital entitlements.
You must provide accurate information when creating or maintaining your account and keep your account information reasonably up to date.
Unless we expressly provide an official transfer mechanism, a Legacy Account is personal to its registered user and may not be sold, rented, commercially shared, transferred or otherwise disposed of.
The Legacy Account itself is not property. Your rights arise from the contractual licence and digital entitlements described in these Terms and in the applicable product description.
4.Account Security
You are responsible for keeping your login credentials and authentication methods secure.
You must promptly notify us if you reasonably believe your Legacy Account has been compromised.
We may temporarily restrict an account where reasonably necessary to protect the User, other Users, payment systems, the integrity of the Services or the security of the account.
Before restoring access to an account, we may request reasonable evidence to verify account ownership.
Where available, we strongly recommend enabling multi-factor authentication.
5.Founder Pledges
A Founder Pledge is a transaction offered through the Pledge Store during the development of LoVO. Founder Pledges support continued development and grant the specific digital entitlements stated in the product description at the time of purchase.
A Founder Pledge may include, for example, game access, ships, vehicles, equipment, cosmetics, titles, badges, digital content, account status or other digital entitlements.
A Founder Pledge is not equity or a share in Black Banner Studios, a security, financial instrument or investment product, a loan, a profit-sharing arrangement, a promise of financial return or appreciation, ownership of Black Banner Studios intellectual property, or ownership of a physical or real-world version of an in-game asset.
Where applicable law treats a Founder Pledge as a consumer contract for digital content, digital services or another category of transaction, all mandatory rights attached to that transaction continue to apply.
6.Founder Status and Founder Benefits
Certain Founder Pledges may grant Founder status, badges, titles, recognition or other benefits.
Founder benefits may vary by pledge tier, campaign, purchase period or product description.
If a specific Founder benefit is expressly described as permanent, ending the sale or Founder campaign will not by itself remove that benefit from the eligible Legacy Account.
Founder status and account-bound Founder benefits are not independently transferable unless we expressly provide otherwise.
7.Permanent Entitlements
Certain purchases grant a Permanent Entitlement to a base in-game asset or other digital benefit.
A Permanent Entitlement means that, while the applicable LoVO Services continue to operate, the Legacy Account retains the contractual right to access, recover or reacquire the relevant base entitlement in accordance with the applicable game systems.
Gameplay destruction, theft, capture, loss or another gameplay event will not permanently delete a purchased Permanent Entitlement from the Legacy Account.
For example, if a Founder Pledge grants a permanently entitled ship and that ship is destroyed in gameplay, the underlying purchased entitlement remains associated with the account.
The User may still be required to use an in-game insurance, recovery, rebuilding, retrieval, replacement or claim system before the asset becomes usable again. Such systems may involve reasonable gameplay conditions, including waiting periods, retrieval locations, in-game currency costs, logistics, repair requirements or similar mechanics.
These gameplay mechanics do not remove the underlying Permanent Entitlement.
8.Scope of a Permanent Entitlement
Unless expressly stated otherwise in the product description, a Permanent Entitlement applies to the purchased base entitlement and does not guarantee permanent retention of every temporary gameplay state associated with it.
Examples of gameplay state that may not be protected include cargo, ammunition, fuel, consumables, temporary or gameplay-acquired modifications, loot, damage state, locally stored items, earned equipment and other non-permanent progression.
Separately purchased permanent upgrades or other permanent digital entitlements retain the persistence rights stated at the time of purchase.
9.Balancing and Changes to Entitled Assets
LoVO is an evolving game. Purchasing an entitlement does not permanently freeze its gameplay statistics, mechanics or implementation.
We may reasonably modify characteristics including performance, speed, handling, armour, damage, weapons, equipment slots, capacity, economy values, crew requirements, visual presentation, systems, progression requirements and other gameplay attributes for balancing, technical, legal, accessibility, security or design reasons.
We will not use ordinary game balancing as a pretext to remove the fundamental purchased entitlement.
If an originally promised entitlement becomes technically, legally or practically impossible to provide, we may provide a reasonably comparable substitute, another appropriate remedy agreed with the User, or any remedy required by applicable law.
10.Concept-Stage and Development Content
Some Founder Pledges may concern content that has not yet been implemented in a playable build.
Unless expressly stated otherwise as a binding characteristic, concept-stage dimensions, statistics, layouts, crew requirements, performance, equipment configurations, visuals, gameplay roles and delivery windows are development targets and may change.
Concept art, development renders, prototype footage, work-in-progress assets and illustrative scenes may differ from the final product.
Where a significant design change occurs, we will use reasonable efforts to preserve the general purpose and identity of the purchased entitlement.
11.Development Roadmaps and Target Dates
Roadmaps, quarters, years, milestones, estimated release windows and similar statements are development targets unless expressly identified as binding commitments.
Game development is inherently uncertain. Development targets may change because of technical challenges, design decisions, testing results, staffing, third-party dependencies, certification, security issues or other development circumstances.
A Founder Pledge does not guarantee availability of a particular feature, asset, build or release on a specific date unless that date was expressly made a binding part of the transaction.
12.Alpha, Beta, Early Access and Testing
Development builds may be incomplete and unstable.
Users participating in testing should expect crashes, performance problems, missing or incomplete features, server outages, temporary incompatibilities, balancing changes, placeholder content, database resets and wipes, and changes to progression and economy systems.
Features appearing in development builds may later be changed, replaced or removed.
13.Wipes and Progress Resets
During development we may reset some or all non-permanent gameplay progression where reasonably necessary for testing, balancing, technical migrations, database changes, economy changes, anti-exploit measures or major updates.
A wipe may affect earned currency, resources, reputation, progression, crafting data, inventory, settlements, gameplay-acquired assets or other non-permanent progress.
Purchased Permanent Entitlements survive development wipes.
A wipe therefore does not permanently remove an underlying Founder Pledge or other purchased permanent account entitlement.
14.The Pledge Store
The Pledge Store allows eligible Users to obtain Founder Pledges and other digital entitlements.
The product description shown at or before checkout identifies the content included in a particular transaction.
Prices and availability may change at any time before a transaction is completed. Products may be limited by time, quantity, account status, campaign or region.
The fact that an item was offered previously does not create an obligation to offer it again.
The final price, applicable taxes and mandatory charges will be displayed before the User confirms the transaction.
15.Payments
Payments may be processed by third-party payment providers, including Stripe.
By submitting a payment, you confirm that you are authorised to use the selected payment method.
A transaction is not complete until payment has been successfully authorised and accepted.
We may delay delivery of an entitlement while a payment is pending, subject to fraud screening or otherwise not finally settled.
We may cancel fraudulent, unauthorised or duplicate transactions.
16.Taxes
Applicable taxes, including value-added tax, may be charged as required by law.
Tax treatment may depend on the User's location, billing information, transaction type and applicable legislation.
Where required, taxes and mandatory charges will be included in or clearly identified as part of the total price before checkout is completed.
17.Store Credit
We may provide an account-based digital balance known as Store Credit.
Store Credit may be issued through an eligible Pledge Exchange, customer-service adjustment, promotion or another mechanism authorised by us.
Unless applicable law requires otherwise, Store Credit is bound to the Legacy Account to which it was issued, is not transferable between Legacy Accounts, cannot be sold or traded, is not normally redeemable or withdrawable for cash, may be used only for eligible transactions through Services operated by us, and has no independent real-world market value.
Store Credit is not cryptocurrency, electronic money, a bank deposit, a security or an investment product.
18.Pledge Exchange / Reclaim
We may operate a voluntary feature allowing Users to surrender certain eligible digital pledges in exchange for Store Credit (“Pledge Exchange”, “Exchange”, “Reclaim” or “Melt”).
Before an exchange is confirmed, the User will be shown the amount of Store Credit that will be issued.
The exchange value does not necessarily equal the current store price, a later or earlier advertised price, the price of another version of the same asset, a third-party resale price or a perceived market value.
Once confirmed, the exchanged pledge may be permanently removed from the Legacy Account and replaced by the displayed Store Credit.
19.Nature of the Pledge Exchange Programme
Pledge Exchange is a voluntary account-management feature provided in addition to statutory rights.
It is not a substitute for, and does not restrict, any statutory right to withdraw from a contract, receive a refund, obtain remedies for non-conforming digital content or exercise another mandatory consumer right.
We may amend eligibility and operational rules for future exchanges where reasonably necessary to prevent fraud, abuse, technical exploitation or unintended use.
We will not confiscate legitimately held Store Credit without a lawful basis.
20.Promotional Credit, Coupons and Bonuses
Promotional Store Credit, coupons, bonuses or rewards may be subject to additional terms disclosed when issued.
Promotional value may have product or account restrictions that differ from ordinary Store Credit.
Any expiry period will be clearly disclosed where legally permitted.
21.Consumer Right of Withdrawal
Consumers in the European Economic Area and other jurisdictions may have a statutory right to withdraw from certain distance contracts, commonly within 14 days, without giving a reason.
Where required by law, we will provide the applicable withdrawal information and model withdrawal form.
For digital content or digital services supplied during the statutory withdrawal period, we may ask the User to expressly request or consent to immediate performance and, where legally applicable, acknowledge the consequences for the right of withdrawal.
We will treat a statutory withdrawal right as lost only where all requirements imposed by applicable law have been satisfied.
Acceptance of these Terms alone does not automatically waive a statutory right of withdrawal.
22.Refunds and Statutory Remedies
Refunds and other remedies will be handled in accordance with applicable law and any separate voluntary Refund Policy that we publish.
Nothing in a voluntary refund policy reduces mandatory consumer rights.
Where a refund reverses a transaction, the associated digital entitlements may be removed from the Legacy Account.
Where technically necessary, entitlements that depend on the refunded transaction may also need to be reversed.
23.Payment Disputes and Chargebacks
Where a payment is disputed, reversed or charged back, we may temporarily restrict the affected transaction or associated entitlements while the matter is investigated.
We may request reasonable information needed to resolve the dispute.
Fraudulent chargebacks or deliberate abuse of payment systems may result in restrictions or account action.
Nothing in this section prevents a User from lawfully exercising rights against a trader, bank, payment provider or card issuer.
24.Licence to Use the Services
Software and digital content supplied through the Services remain owned by Black Banner Studios or its licensors.
Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable and revocable licence to access and use the Services for personal, non-commercial entertainment purposes.
This licence does not transfer ownership of source code, software, characters, lore, artwork, music, trademarks, game worlds or other intellectual property.
Except where expressly permitted by us or by mandatory law, you may not copy, commercially exploit, distribute, reverse engineer, modify or create unauthorised derivative works from the Services.
25.Virtual Items and Virtual Currency
Virtual items, gameplay currency, resources and similar digital elements exist only within the Services.
Except where expressly identified as a purchased Permanent Entitlement, gameplay-obtained virtual items may be consumed, changed, lost, destroyed, traded, wiped or otherwise affected by normal game systems.
Virtual items and gameplay currency do not represent legal tender, stored monetary value or ownership of a real-world object.
26.Real-Money Trading and Unauthorised Transfers
Unless we expressly authorise an official mechanism, Users may not sell Legacy Accounts, Store Credit, gameplay currency, digital entitlements or other LoVO virtual assets for real-world money.
We may take reasonable action against transactions involving fraud, stolen payment methods, account theft, chargebacks, money laundering, exploitation or violations of these Terms.
Any future official gifting, marketplace or transfer feature will be governed by the specific rules displayed for that feature.
27.Updates and Launcher
Access to LoVO may require installation of the official launcher and periodic software updates.
Updates may be required to continue accessing online Services and may modify features, content, performance, compatibility, security systems and technical requirements.
Where required by law, legally necessary updates will be provided in accordance with applicable digital-content and digital-service obligations.
28.Hardware and Technical Requirements
Minimum and recommended hardware requirements may change during development.
Performance may vary depending on hardware, drivers, operating system, internet connection and other factors.
Development-stage hardware targets do not constitute a guarantee that requirements will remain unchanged until full release.
29.Availability of Online Services
We aim to provide the Services with reasonable availability, but uninterrupted operation cannot be guaranteed.
Access may be interrupted because of maintenance, updates, security incidents, technical failures, hosting issues, capacity constraints, network problems or circumstances outside our reasonable control.
Development and testing environments may experience substantially more downtime than a finished commercial service.
Downtime does not itself remove a Permanent Entitlement.
30.Multiplayer, Worlds and Servers
Online functionality depends on servers, networking infrastructure and other users.
We may manage server regions, capacity, queues, shards, matchmaking and world configuration as reasonably necessary to operate the Services.
During development, we may merge, reset, migrate or reconfigure game worlds, servers and databases.
31.Acceptable Use
You must use the Services lawfully and in a manner that does not materially harm other Users or the integrity of LoVO.
Prohibited conduct includes cheating, unauthorised bots or automation, deliberate exploitation of serious bugs, attacks against servers or infrastructure, malware distribution, unauthorised account access, fraud or impersonation, harassment, credible threats or doxxing, unlawful content, circumvention of security or anti-cheat systems, payment-system manipulation, and conduct that materially disrupts the Services or other Users.
Good-faith testing and reporting of bugs through authorised channels is not prohibited exploitation.
32.Cheats, Bots and Exploits
We may use proportionate technical and organisational measures to detect cheating, automation, unauthorised modifications, security threats and exploitation.
Where necessary to protect multiplayer integrity, this may include anti-cheat technologies and processing of relevant gameplay or technical information in accordance with our Privacy Policy and applicable law.
Users who discover a serious exploit should report it rather than deliberately using it to obtain an unfair advantage or damage the game economy or other Users.
33.Community Conduct
Where the Services include chat, voice communications, forums, guilds or other community functions, Users must comply with applicable Community Rules.
We may moderate content and take proportionate action against serious harassment, hate speech, threats, doxxing, scams, impersonation, illegal content and similar abuse.
Not every disagreement or unpleasant interaction constitutes a Terms violation.
34.User-Generated Content
If the Services allow you to create, upload or share text, images, names, designs or other content (“User Content”), you retain any rights you already have in that content.
You grant Black Banner Studios a non-exclusive licence to host, reproduce, process, display and transmit User Content to the extent reasonably necessary to operate, moderate, improve and provide the relevant Services.
You must have the rights necessary to submit User Content.
We may remove User Content where required by law or where it materially violates these Terms or applicable Community Rules.
35.Intellectual Property
Legacy of Valor Online and its software, characters, world, lore, designs, graphics, logos, trademarks, audio, music, artwork, documentation and other original materials are protected by intellectual-property law.
Except for the limited licence granted under these Terms, no intellectual-property rights are transferred to the User.
“Legacy of Valor”, “Legacy of Valor Online” and associated names, logos and marks are protected identifiers of Black Banner Studios or its licensors where applicable.
36.Streaming, Videos and Fan Content
We may publish a separate Fan Content or Creator Policy covering streaming, videos, screenshots, fan art, community websites and similar fan activity.
Activities that comply with such a policy are authorised only to the extent described there.
Commercial exploitation outside any express permission requires our prior authorisation.
37.Third-Party Services
The Services may rely on third-party providers such as payment processors, hosting providers, transactional email services, authentication services, distribution platforms or social networks.
Third-party services may be governed by their own terms and privacy notices.
We are not responsible for independent third-party services except to the extent required by applicable law.
38.Privacy and Personal Data
We process personal data in accordance with our separate Privacy Policy and applicable data-protection law.
The Privacy Policy explains the categories of data we process, purposes, legal bases, recipients, retention, international transfers and your rights.
Acceptance of these Terms is not consent to marketing and does not constitute consent for processing activities for which the law requires a separate consent.
39.Suspension
We may temporarily suspend access to all or part of the Services where reasonably necessary because of suspected fraud, account compromise, serious misconduct, security risk, payment dispute, technical exploitation or significant violation of these Terms.
Where required by law and appropriate in the circumstances, we will provide information about the reason and an opportunity to respond.
40.Termination by Black Banner Studios
We may terminate a Legacy Account for a serious or repeated breach of these Terms where termination is proportionate and legally permissible.
Where appropriate, less serious violations may first result in a warning or temporary restriction.
Serious conduct such as fraud, deliberate attacks on infrastructure, organised cheating, account theft or significant security abuse may justify immediate action.
Termination may result in loss of access to the Services and associated digital entitlements to the extent permitted by applicable law.
Nothing in this section removes refund, compensation or other obligations that mandatory law imposes on us.
41.Termination and Account Deletion by the User
You may stop using the Services at any time.
You may request account deletion through the available account or support process.
Account deletion may permanently remove access to entitlements associated with the account. We will provide an appropriate warning before an irreversible deletion is completed.
Account deletion does not automatically create a right to a refund except where provided by applicable law or an applicable voluntary policy.
Some records may need to be retained after account deletion where required by law or necessary for legal claims, fraud prevention or accounting obligations, as further explained in the Privacy Policy.
42.Service Discontinuation
No online game can be guaranteed to operate indefinitely.
If we permanently discontinue LoVO or a material part of the Services, we will comply with applicable legal obligations and provide any notice or remedies required by law.
Nothing in these Terms is a guarantee of perpetual server operation.
43.No Investment or Financial Return
Founder Pledges and other transactions are offered for digital entitlements and support of game development.
They should not be purchased with an expectation of resale profit, financial appreciation, dividends or investment return.
Store values do not constitute market prices or representations of investment value.
44.No Real-World Ownership of Game Assets
Purchasing a ship, vehicle, building, item or other digital entitlement does not grant ownership of a physical object or of the underlying game software or intellectual property.
Words such as “buy”, “purchase”, “own”, “your ship” and similar expressions used in the interface are ordinary game and commerce terminology.
Legally, the User receives the contractual digital entitlement and licence described by the transaction, these Terms and applicable mandatory law.
45.Statutory Conformity Rights and Updates
Nothing in these Terms excludes statutory rights concerning conformity, defects, digital content, digital services or legally required updates.
Where applicable law requires digital content or services to conform to the contract or requires us to provide updates, those obligations apply notwithstanding any general disclaimer.
Development-stage characteristics clearly disclosed before purchase may form part of the agreed characteristics of a development build, but disclosure does not waive mandatory rights.
46.Development-Build Disclaimer
To the maximum extent permitted by law, testing and development builds are supplied with the understanding that they are unfinished software and may contain substantial defects, incomplete functionality and major changes.
We do not promise that a particular development build will operate without interruption or defects.
This section does not affect warranties, remedies or liabilities that cannot legally be excluded.
47.Liability
Nothing in these Terms limits liability where limitation is prohibited by applicable law.
For Users acting as consumers, our liability is subject to applicable mandatory consumer law.
For Users acting exclusively in the course of business, and to the maximum extent permitted by law, Black Banner Studios will not be liable for indirect or consequential losses that were not reasonably foreseeable when the relevant contract was entered into.
Nothing in this section removes a mandatory remedy arising from our failure to provide a purchased entitlement or conforming digital content or service.
48.Force Majeure
To the extent permitted by law, we are not responsible for delay or failure caused by circumstances reasonably beyond our control, including major infrastructure outages, natural disasters, war, civil unrest, governmental measures, major cyberattacks or failures of critical third-party infrastructure.
We will use reasonable efforts to minimise material disruption.
49.Changes to the Services
We may reasonably modify the Services for development, security, legal compliance, compatibility, technical improvement, balancing, accessibility or continued operation.
Material modifications to continuously supplied digital services will be handled in accordance with applicable law.
We will not use this section to retroactively remove a Permanent Entitlement merely because the relevant item is no longer offered for sale.
50.Changes to These Terms
Each version of these Terms has a version number and effective date.
The Legacy Account system may record the exact Terms version accepted by the User and the date and timestamp of acceptance.
We may update these Terms where reasonably necessary because of changes to the Services, law, security requirements or legitimate business operations.
Where required by law, we will provide advance notice of material changes and request renewed acceptance.
A later version of these Terms does not automatically permit us to retroactively remove vested contractual rights arising from an earlier transaction.
51.Notices
We may provide notices through the Legacy Account, the registered email address, the website or another durable medium where required by law.
You are responsible for maintaining a valid email address associated with your Legacy Account.
52.Customer Support and Complaints
Questions, account issues, refund requests and complaints may be sent through the contact channels published on the Legacy of Valor Online website.
Legal correspondence may also be sent to:

53.Alternative Dispute Resolution
If you are a consumer and a dispute cannot be resolved directly with us, you may be entitled to use an applicable alternative dispute resolution procedure.
For consumer disputes falling within its competence, the relevant Czech ADR entity is the Czech Trade Inspection Authority (Česká obchodní inspekce).
Further information is available from the Czech Trade Inspection Authority.
Use of ADR does not remove any right to seek judicial remedies.
54.Governing Law
These Terms are governed by the laws of the Czech Republic.
If you are a consumer residing in another jurisdiction, this choice of law does not deprive you of mandatory consumer protections that would otherwise apply to you.
55.Jurisdiction
For consumers, jurisdiction is determined by applicable mandatory law.
For disputes involving Users acting exclusively in the course of business, the courts of the Czech Republic shall have jurisdiction unless mandatory law requires otherwise.
56.Severability
If any provision of these Terms is found invalid, unlawful or unenforceable, the remaining provisions remain effective to the extent legally possible.
57.No Waiver
Failure to enforce a provision on one occasion does not waive the right to enforce it later.
58.Assignment
You may not assign your rights under these Terms except where permitted by law or expressly authorised by us.
We may transfer these Terms to an affiliate, successor or purchaser of the relevant business where legally permitted and where doing so does not unlawfully reduce consumer rights.
59.Entire Agreement and Related Policies
These Terms, together with documents expressly incorporated into them and the applicable product description, govern use of the Services and relevant transactions.
Separate policies may govern specific matters, including the Privacy Policy, Cookie Policy, Refund Policy, Community Rules, Pledge Store rules or individual promotions.
Where an applicable product description expressly grants a more favourable specific entitlement, that description forms part of the relevant transaction.
60.Language
These Terms may be made available in multiple languages.
Where a particular language version is designated as controlling, that designation applies only to the extent permitted by mandatory consumer law.

62.Acceptance
By selecting “I agree to the Terms of Service” or otherwise providing legally valid acceptance, you confirm that you have read and agree to these Terms.
For evidentiary and compliance purposes, the Legacy Account system may record the Terms version, date and timestamp of acceptance, together with technical information reasonably necessary to demonstrate that acceptance.
Where applicable law requires a separate consent — including consent to immediate performance of digital content during a statutory withdrawal period or consent to marketing — that consent will be requested separately and will not be inferred solely from acceptance of these Terms.
